Please review these Terms carefully as they serve as an enforceable contract between us and contain important information about your legal rights, remedies, and obligations.
These Nbparents Terms of Service (“Terms”) are a binding legal agreement between you and Nbparents, Inc. (“Nbparents,” “we,” “us,” “our”) that govern the right to use the websites, applications, and other offerings from Nbparents (collectively, the “Nbparents Platform” or “Services”).
Please be advised: These Terms contain provisions that govern how claims between you and Nbparents can be brought (SEE SECTION 12 (THE DISPUTE RESOLUTION BY BINDING ARBITRATION) BELOW). These provisions will, with limited exception, require you to: 1) waive your right to a jury trial, and 2) submit claims you have against Nbparents to binding and final arbitration on an individual basis, not as a plaintiff or class member in any class or representative action or proceeding, and 3) you will only be permitted to seek relief (including monetary, injunctive, and declaratory relief) on an individual basis.
When using certain aspects of the Services or using certain Services, you will be subject to additional terms applicable to such services that may be posted on the Services, including, without limitation, our Privacy Policy, Community Standards, Class Content Policy, Educator Addendum, Educator’s Earnings and Disbursements Policy, Nbparents-Sponsor Promotion Terms and Help Center, Disclosure Of Information, Cookies and Similar Technologies, Date Security, Information Collection, Use of information, Tax Reporting Guide. All such terms are hereby incorporated by reference into these Terms.
IF YOU LIVE IN THE UNITED STATES OR CANADA, BY AGREEING TO THESE TERMS, YOU AGREE TO RESOLVE ALL DISPUTES WITH NBPARENTS IN SMALL CLAIMS COURT OR THROUGH BINDING INDIVIDUAL ARBITRATION ONLY, AND YOU WAIVE THE RIGHT TO PARTICIPATE IN ANY CLASS ACTIONS AND TO HAVE CLAIMS DECIDED BY A JURY, AS EXPLAINED IN THE DISPUTE RESOLUTION SECTION.
Nbparents’s mission is to improve lives through learning. We enable anyone anywhere to create and share educational content (Educators) and to access that educational content to learn (students). We consider our marketplace model the best way to offer valuable educational content to our users. We need rules to keep our platform and services safe for you, us, and our student and ucator community. These Terms apply to all your activities on the Nbparents website, the Nbparnets mobile applications, our TV applications, our APIs, and other related services (“Services”).
1. Accounts
You need an account for most activities on our platform. Keep your password somewhere safe, because you’re responsible for all activity associated with your account. If you suspect someone else is using your account, let us know by contacting our Support Team. You must have reached the age of consent for online services in your country to use Nbparents.
You need an account for most activities on our platform, including to purchase and access content or to submit content for publication. When setting up and maintaining your account, you must provide and continue to provide accurate and complete information, including a valid email address. You have complete responsibility for your account and everything that happens on your account, including for any harm or damage (to us or anyone else) caused by someone using your account without your permission. This means you need to be careful with your password. You may not transfer your account to someone else or use someone else’s account. If you contact us to request access to an account, we will not grant you such access unless you can provide us with the information that we need to prove you are the owner of that account. In the event of the death of a user, the account of that user will be closed.
You may not share your account login credentials with anyone else. You are responsible for what happens with your account and Nbparents will not intervene in disputes between students or Educators who have shared account login credentials. You must notify us immediately upon learning that someone else may be using your account without your permission (or if you suspect any other breach of security) by contacting our Support Team. We may request some information from you to confirm that you are indeed the owner of your account.
We may connect to third-party service providers, and you may need to use your personal information to log in to third-party service providers. By using all of our official platforms, you agree that all risks incurred are borne by you personally and have nothing to do with nbparnets, you waive any suit against nbparnets in any country for any reason.
Students and educators must be at least 18 years of age to create an account on Nbparents and use the Services. If you are younger than 18 but above the required age for consent to use online services where you live (for example, 13 in the US or 16 in Ireland), you may not set up an account, but we encourage you to invite a parent or guardian to open an account and help you access content that is appropriate for you.
2. Content Enrollment and Lifetime Access
Under our Educator Terms, when educators publish content on Nbparents, they grant Nbparents a license to offer a license to the content to students. This means that we have the right to sublicense the content to enrolled students. As a student, when you enroll in a course or other content, whether it’s free or paid content, you are getting a license from Nbparents to view the content via the Nbparents platform and Services, and Nbparents is the licensor of record. Content is licensed, and not sold, to you. This license does not give you any right to resell the content in any manner (including by sharing account information with a purchaser or illegally downloading the content and sharing it on torrent sites).
In legal, more complete terms, Nbparents grants you (as a student) a limited, non-exclusive, non-transferable license to access and view the content for which you have paid all required fees, solely for your personal, non-commercial, educational purposes through the Services, in accordance with these Terms and any conditions or restrictions associated with the particular content or feature of our Services. All other uses are expressly prohibited. You may not reproduce, redistribute, transmit, assign, sell, broadcast, rent, share, lend, modify, adapt, edit, create derivative works of, sublicense, or otherwise transfer or use any content unless we give you explicit permission to do so in a written agreement signed by a Nbparents authorized representative. This also applies to content you can access via any of our APIs.
We generally give a lifetime access license to our students when they enroll in a course or other content. However, we reserve the right to revoke any license to access and use any content at any point in time in the event where we decide or are obligated to disable access to the content due to legal or policy reasons, for example, if the course or other content you enrolled in is the object of a copyright complaint, or if we determine it violates our Trust & Safety Guidelines. This lifetime access license does not apply to enrollments via Subscription Plans or to add-on features and services associated with the course or other content you enroll in. For example, educators may decide at any time to no longer provide teaching assistance or Q&A services in association with the content. To be clear, the lifetime access is to the course content but not to the educators.
Educators may not grant licenses to their content to students directly, and any such direct license shall be null and void and a violation of these Terms.
3. Payments, Credits, and Refunds
3.1 Pricing
The prices of content on Nbparents are determined based on the terms of the Educators Terms and our Promotions Policy.
We occasionally run promotions and sales for our content, during which certain content is available at discounted prices for a set period of time. The price applicable to the content will be the price at the time you complete your purchase of the content (at checkout). Any price offered for particular content may also be different when you are logged into your account from the price available to users who aren’t registered or logged in, because some of our promotions are available only to new users.
If you are logged into your account, the listed currency you see is based on your location when you created your account. If you are not logged into your account, the price currency is based on the country where you are located. We do not enable users to see pricing in other currencies.
If you are a student located in a country where use and sales tax, goods and services tax, or value added tax is applicable to consumer sales, we are responsible for collecting and remitting that tax to the proper tax authorities. Depending on your location, the price you see may include such taxes, or tax may be added at checkout.
3.2 Payments
You agree to pay the fees for content that you purchase, and you authorize us to charge your debit or credit card or process other means of payment (such as Boleto, SEPA, direct debit, or mobile wallet) for those fees. Nbparents works with payment service providers to offer you the most convenient payment methods in your country and to keep your payment information secure. We may update your payment methods using information provided by our payment service providers. Check out our Privacy Policy for more details.
When you make a purchase, you agree not to use an invalid or unauthorized payment method. If your payment method fails and you still get access to the content you are enrolling in, you agree to pay us the corresponding fees within 30 days of notification from us. We reserve the right to disable access to any content for which we have not received adequate payment.
4. Terms of Use
4.1 User Conduct
You are solely responsible for all content, including but not limited to code, video, images, information, data, text, software, music, sound, photographs, graphics, messages, or any other materials (collectively, “Content”) that you upload, post, publish, display, or otherwise use via the Service.
The technology and software underlying the Service, or distributed in connection with it, are the property of Educator, our affiliates, and our partners (the “Software”). You agree not to copy, modify, create derivative works of, reverse engineer, disassemble, or otherwise attempt to discover any source code, sell, assign, sublicense, or otherwise transfer any rights in the Software. Any rights not expressly granted herein are reserved by Educator.
The following are examples (but not an exhaustive list) of content and/or uses that are prohibited by Educator. Educator reserves the right to investigate and take appropriate legal action against anyone who, in Educator’s sole discretion, violates these provisions, including without limitation removing offending content from the Service, suspending or terminating the violator’s account, and reporting the incident to law enforcement authorities. You agree not to use the Service to:
Email or otherwise upload any content that:
Infringes any intellectual property or other proprietary rights of any third party;
You do not have the right to upload under any law or contractual or fiduciary relationship;
Contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software, hardware, or telecommunications equipment;
Poses or creates a privacy or security risk to any individual;
Constitutes unsolicited or unauthorized advertising, promotional materials, commercial activities, and/or sales, such as “junk mail,” “spam,” “chain letters,” “pyramid schemes,” “contests,” or “sweepstakes”;
Is unlawful, harmful, threatening, abusive, harassing, tortious, excessively violent, defamatory, vulgar, obscene, pornographic, libelous, invasive of another’s privacy, hateful, racially, ethnically, or otherwise objectionable;
In Educator’s sole judgment, is objectionable or restricts or inhibits any other person from using or enjoying the Service, or exposes Educator or its users to any harm or liability.
Interfere with or disrupt the Service or the servers or networks connected to the Service, or disobey any requirements, procedures, policies, or regulations of networks connected to the Service;
Violate any applicable local, state, national, or international law, or any regulations having the force of law;
Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity;
Solicit personal information from anyone in violation of our Privacy Policy;
Harvest or collect email addresses or other contact information of other users from the Service by electronic or other means for the purposes of sending unsolicited emails or other unsolicited communications;
Advertise or offer to sell or buy any goods or services for any business purpose that is not specifically authorized;
Further or promote any criminal activity or enterprise or provide instructional information about illegal activities;
Obtain or attempt to access or otherwise obtain any materials or information through any means not intentionally made available or provided for through the Service;
Engage in or use any data mining, robots, scraping, or similar data gathering or extraction methods;
Implement any measures to circumvent such blocking (e.g., by masking your IP address or using a proxy IP address) if you are blocked from accessing the Service by Educator (including by blocking your IP address);
Use the Service or its Content for any purpose other than as specifically authorized herein, which is strictly prohibited.
4.2 Special Notice for International Use; Export Controls
The Software available in connection with the Service and the transmission of applicable data, if any, are subject to U.S. export controls. No Software may be downloaded from the Service or otherwise exported or re-exported in violation of U.S. export laws. Downloading or using the Software is at your own risk. Recognizing the global nature of the Internet, you agree to comply with all local laws and regulations regarding your use of the Service, including those related to online conduct and acceptable content.
4.3 Commercial Use
Unless expressly authorized herein or in the Service, you agree not to display, distribute, license, perform, publish, reproduce, duplicate, copy, create derivative works from, modify, sell, resell, exploit, transfer, or upload for any commercial purposes, any portion of the Service, your use of the Service, or your access to the Service.
5. Nbparents Promotions
Nbparents may, at its sole discretion, offer trials, promotions, or discounts (collectively, “Nbparents Promotions”). All Nbparents Promotions are governed by the terms and conditions of the Nbparents-Sponsored Promotion Terms, which you should carefully review. In addition to these Terms, any additional terms and conditions presented during the signup or redemption process will form an integral part of these Terms.
Unless expressly stated in writing, all discount offers requiring payment are non-refundable. Any trial or promotional offer must be used within the specified time frame, as indicated in writing, and any such offer will automatically terminate at the end of the specified period. Following the expiration of the trial or promotion, any ongoing subscription will automatically renew at the then-current full price unless you cancel the subscription prior to the renewal date.
Nbparents reserves the right, at its sole discretion, to determine your eligibility for any trial, promotion, or discount, and to withdraw, modify, or discontinue any trial, promotion, or discount at any time without prior notice, and without liability, to the fullest extent permitted under applicable law. You acknowledge and agree that Nbparents shall have no obligation to offer any trials, promotions, or discounts, and that any such offer may be withdrawn or modified at any time.
Any suspected or actual fraudulent behavior in connection with a Promotion, including, but not limited to, misuse or abuse of a Promotion, by any User, may result in the suspension or termination of the User’s access to Nbparents and the removal of the User from the platform, at Nbparents’ sole discretion, without notice and without liability.
Nbparents is not responsible for any special offers, promotions, or discounts offered by educators or any third-party entities, and such offers are not within the control or responsibility of Nbparents.
6. Intellectual Property Rights
6.1 Service Content
You acknowledge and agree that the Service may contain content or features (collectively, "Service Content") that are protected by copyright, patent, trademark, trade secret, or other proprietary rights and laws. Such content is the property of Nbparents, its affiliates, and its partners. Except as expressly authorized by Nbparents, you agree not to modify, copy, frame, scrape, rent, lease, loan, sell, distribute, or create derivative works based on the Service or the Service Content, in whole or in part. This does not apply to your own User Content (as defined below) that you legally upload to the Service. For clarity, you acknowledge and agree that Class Recordings constitute Service Content, not User Content.
6.2 Nbparents Trademarks
The Nbparents name and logos are trademarks and service marks of Nbparents (collectively the “Nbparents Trademarks”). Other product and service names and logos used and displayed through the Service may be trademarks or service marks of their respective owners, who may or may not be affiliated with or endorse Nbparents. Nothing in these Terms or the Service grants you any license or right to use any Nbparents Trademarks, except with prior written permission from Nbparents. All goodwill generated from the use of Nbparents Trademarks inures solely to the benefit of Nbparents.
6.3 Third Party Material
Nbparents shall not be liable for any content or materials provided by third parties (including Users), including but not limited to any errors or omissions in such content, or for any loss or damage incurred due to the use of such content. You acknowledge that Nbparents may, but is not obligated to, pre-screen content, and Nbparents and its designees have the right, but not the obligation, to refuse or remove any content made available through the Service. Without limiting the foregoing, Nbparents and its designees may remove content that violates these Terms or is deemed objectionable. You agree to evaluate and bear all risks associated with the use of any content, including reliance on its accuracy, completeness, or usefulness.
6.4 User Content Transmitted Through the Service
By uploading or submitting any content or materials (collectively, “User Content”) via the Service or sharing such content with other Users or recipients, you represent and warrant that you have all necessary rights, title, and interest in such User Content, including but not limited to all copyrights and rights of publicity contained therein. You retain any intellectual property rights you hold in your User Content, and Nbparents does not claim ownership of such User Content.
6.5 License for User Content
By submitting, posting, or otherwise uploading User Content to the Service, you grant Nbparents a worldwide, non-exclusive, perpetual, irrevocable, fully sublicensable, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display such User Content, in whole or in part, through the Services or otherwise, and to incorporate it into other works in any form, media, or technology now known or later developed, for any lawful business purpose, including, without limitation:
6.5.1 With respect to User Content made publicly available via the Service (e.g., Class Listings, public forum posts), the license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display such User Content worldwide.
6.5.2 With respect to User Content that is submitted privately via the Service (e.g., private lessons or messages with other Users), the license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display such User Content solely for the purpose of providing the Services and for legal and compliance purposes.
In addition, you agree not to assert any moral rights or rights of publicity against Nbparents with respect to the use of your User Content. You also recognize Nbparents' legitimate interest in using it according to the scope of this license, especially where your User Content contains any personal information.
6.5.3 Submissions
You acknowledge and agree that any feedback, comments, suggestions, ideas, or other information related to the Service (“Submissions”) that you provide to Nbparents shall be deemed non-confidential. Nbparents shall be entitled to use and disseminate such Submissions for any purpose, commercial or otherwise, without acknowledgment or compensation to you.
6.5.4 Content Preservation and Disclosure
You acknowledge and agree that Nbparents may preserve content and may disclose content if required by law or in good faith belief that such preservation or disclosure is necessary to:
(i) comply with legal process, applicable laws, or government requests;
(ii) enforce these Terms;
(iii) respond to claims that any content violates the rights of third parties;
(iv) protect the rights, property, or personal safety of Nbparents, its users, or the public.
You understand that technical processing and transmission of the Service, including your content, may involve transmissions over various networks, and changes to conform to the technical requirements of connecting networks or devices.
6.5.5 Copyright Complaints
Nbparents respects the intellectual property of others and expects its users to do the same. If you believe your work has been infringed upon in violation of copyright law, or that your intellectual property rights have been otherwise violated, please notify Nbparents of your infringement claim in accordance with the following procedure.
Nbparents will process notices of alleged infringement and take appropriate action under the Digital Millennium Copyright Act ("DMCA") and other applicable intellectual property laws with respect to any alleged or actual infringement. To submit a notice of claimed copyright infringement, please email Nbparents’s Copyright Agent at support@nbparents.com (subject: “DMCA Takedown Request”).
A valid copyright infringement notification must be in writing and include the following information:
• A description and proof of ownership of the copyright or other intellectual property, including but not limited to the registration number and certificate (if applicable);
• An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or intellectual property;
• A description of the copyrighted work or intellectual property that you claim has been infringed, including a specific link to the alleged infringing content;
• Your address, telephone number, and email address;
• A statement that you have a good faith belief that the disputed use is not authorized by the copyright or intellectual property owner, their agent, or the law; and
• A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright or intellectual property owner or authorized to act on behalf of the copyright or intellectual property owner.
Each notice may address up to ten claims. If the notice contains more than ten claims, Nbparents will only process the first ten claims in the notice.
7. Third Party Websites
The Service may provide, or third parties may provide, links or other means of accessing external websites and resources. Nbparents has no control over such external sites and resources, nor is it responsible for or endorses such sites and resources. You further acknowledge and agree that Nbparents will not be held liable, either directly or indirectly, for any damage or loss caused, or allegedly caused, by or in connection with the use of or reliance on any content, events, goods, or services available on or through such external sites or resources, regardless of whether such damages or losses are actual or merely claimed. Third parties may require you to accept their own terms of use. Nbparents is not a party to these agreements, and they are solely between you and the third party. Any interactions or transactions you have with third parties while using the Service are solely between you and the third party, and you agree that Nbparents will not be liable for any loss or claim you may have arising from dealings with any third party.
8. Indemnity and Release
You agree to release, indemnify, and hold harmless Nbparents, its affiliates, and their officers, employees, directors, and agents (collectively referred to as "Indemnitees") from any and all losses, damages, costs, including reasonable attorney’s fees, rights, claims, actions, or injuries (including death) arising from or related to your use of or connection to the Service, any User Content, and/or your breach of these Terms or any violation of the rights of others. If you are a resident of California, you waive the protections provided under California Civil Code Section 1542, which states: "A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor." If you reside in another jurisdiction, you waive any comparable statute or legal principle.
9. Disclaimer of Warranties
You acknowledge that your use of the Service is at your own risk. The Service is provided on an "as-is" and "as-available" basis. Nbparents expressly disclaims any and all warranties, whether expressed, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Nbparents does not guarantee that: (A) the Service will meet your requirements; (B) the Service will be uninterrupted, timely, secure, or error-free; (C) the results obtained from using the Service will be accurate or reliable; or (D) the quality of any products, services, information, or other materials purchased or obtained through the Service will meet your expectations.
You acknowledge and agree that any criminal background checks conducted by Nbparents on teachers are solely for Nbparents’ benefit. Nbparents makes no representations or warranties regarding the conduct of users on the Nbparents platform or service.
You assume certain risks when interacting with other users, including those who may be acting under false pretenses. While Nbparents aims to provide a safe and welcoming environment, you agree that all such risks are ultimately borne by you and not Nbparents. Nbparents does not control the behavior of users or the quality of the classes. As a result, classes are offered and sold by independent teachers or educational organizations, and Nbparents cannot guarantee the authenticity, safety, legality, or appropriateness of the classes. Any legal claims related to a class you purchase must be brought directly against the teacher who offered the class. You release Nbparents from any claims related to classes offered through the Services.
10. Limitation of Liability
You expressly acknowledge and agree that Nbparents shall not be held liable for any indirect, incidental, special, consequential, or exemplary damages, including, but not limited to, loss of goodwill, use, data, or other intangible losses (even if Nbparents has been advised of the possibility of such damages), whether arising from contract, tort, negligence, strict liability, or otherwise, that result from: (A) your use of or inability to use the Service; (B) the cost of procuring substitute goods and services arising from any goods, data, information, or services purchased or obtained through the Service, or from any messages received or transactions entered into through the Service; (C) unauthorized access to or alteration of your transmissions or data; (D) the statements or conduct of any third party on the Service; or (E) any other matter relating to the Service. In no event shall Nbparents’ total liability to you for all damages, losses, or causes of action exceed the amount you have paid to Nbparents in the last six (6) months, or, if greater, one hundred dollars ($100).
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the limitations set forth above may not apply to you or be enforceable with respect to you. If you are dissatisfied with any part of the Service or these Terms, your sole and exclusive remedy is to discontinue your use of the Service.
If you are a user from New Jersey, the foregoing sections titled "Disclaimer of Warranties" and "Limitation of Liability" are intended to be as broad as permitted under the laws of the state of New Jersey. If any portion of these sections is held to be invalid under New Jersey law, the invalidity of that portion shall not affect the validity of the remaining portions of the applicable sections.
11. Dispute Resolution via Binding Arbitration: PLEASE READ THIS SECTION CAREFULLY AS IT IMPACTS YOUR RIGHTS
Agreement to Arbitrate: This section, referred to as the "Arbitration Agreement," mandates that any and all disputes or claims arising between you and Nbparents, whether related to these Terms of Service (including any alleged breaches), the Services, advertising, or any transactions or relationships between the parties, will be resolved exclusively through final and binding arbitration. This is instead of resolving through court. The arbitration will be conducted in accordance with the terms of this Arbitration Agreement, except in cases where you may file claims in small claims court if the claim qualifies. This Arbitration Agreement does not prevent you from bringing matters to the attention of federal, state, or local government agencies, and such agencies, where applicable, may seek relief on your behalf. By agreeing to these Terms, both you and Nbparents waive the right to a jury trial or participation in class action lawsuits. Instead, any disputes will be decided by a neutral arbitrator, not a judge or jury. The Federal Arbitration Act governs the interpretation and enforcement of this Arbitration Agreement.
Prohibition of Class and Representative Actions and Non-Individualized Relief: YOU AND NBPARENTS AGREE THAT CLAIMS BETWEEN US WILL BE BROUGHT SOLELY ON AN INDIVIDUAL BASIS. NEITHER PARTY CAN INITIATE OR PARTICIPATE IN A CLASS ACTION, REPRESENTATIVE ACTION, OR ANY OTHER FORM OF COLLECTIVE PROCEEDING, UNLESS NBPARENTS CONSENTS TO SUCH ACTION. IF AGREED, A SINGLE ARBITRATOR MAY CONDUCT CONSOLIDATED ARBITRATION PROCEEDINGS INVOLVING MULTIPLE CLAIMANTS. HOWEVER, ANY RELIEF AWARDED IN ARBITRATION WILL BE SOLELY FOR THE INDIVIDUAL CLAIMANT AND LIMITED TO THE EXTENT NECESSARY TO PROVIDE RELIEF FOR THAT PARTICULAR CLAIM. IF A CLASS OR REPRESENTATIVE CLAIM IS TIMELY FILED, SUCH CLAIMS WILL BE STAYED DURING THE ARBITRATION. IF ANY PART OF THIS PROVISION IS FOUND INVALID OR ENFORCEABLE, THE INVALID PART WILL BE REMOVED, AND THE REST OF THE AGREEMENT WILL STILL BE IN EFFECT. CLAIMS UNDER CALIFORNIA'S PRIVATE ATTORNEYS GENERAL ACT (PAGA) ARE NOT WAIVED.
Pre-Arbitration Dispute Resolution: Nbparents strives to resolve disputes efficiently. If a dispute arises, you should first attempt to resolve it by emailing support@Nbparents.com. If the issue remains unresolved after this attempt, the party seeking arbitration must send the other party a written "Notice of Dispute" via certified mail. The Notice should describe the nature of the claim and the relief being sought. This Notice must be sent to: Nbparents, Inc., 2261 Market Street, #4545, San Francisco, CA 94114. If the dispute is not resolved within 60 calendar days of receiving the Notice, arbitration may proceed. Any settlement offer made during this period must remain confidential until the arbitrator issues a decision.
Arbitration Procedures: The arbitration will be conducted by a neutral arbitrator following the American Arbitration Association's (AAA) rules, including its Supplementary Procedures for Consumer-Related Disputes. Information on the AAA and its rules can be found on their website (https://www.adr.org/). In case of inconsistency between the AAA's rules and this Agreement, the terms of this Arbitration Agreement will prevail unless the arbitrator determines they do not lead to a fair arbitration. The arbitrator will decide on all issues, including the scope, enforceability, and applicability of this Arbitration Agreement. Arbitration decisions are enforceable in court and can be overturned only in limited circumstances. Arbitration hearings, unless the parties agree otherwise, will occur in a convenient location for both sides. If the dispute involves claims under $10,000, you may opt for an arbitration based on documents, a telephonic hearing, or an in-person hearing.
Costs of Arbitration: Arbitration fees will be governed by the AAA Rules unless otherwise stated. Any payment of legal fees will be subject to the AAA Rules.
Confidentiality: All aspects of the arbitration proceedings, including decisions, rulings, and awards, are confidential for the benefit of both parties.
Severability: If any part of this Arbitration Agreement is deemed unenforceable, the invalid part will be removed, and the rest of the Agreement will remain in force. If any part of the "Prohibition of Class and Representative Actions" section is found invalid, the entire Arbitration Agreement will be null and void, while the rest of the Terms will remain effective.
Opt-Out: If you are a new user, you can opt out of this Arbitration Agreement within 30 days of accepting these Terms by sending an email to support@Nbparents.com. Include your name, account email, and username, along with a request to opt out. If you opt out, neither party will be obligated to arbitrate disputes, but the Terms will still apply.
Future Changes to Arbitration Agreement: If Nbparents makes any changes to this Arbitration Agreement, you may reject those changes by sending written notice within 30 days of the change. If you reject the change, the original arbitration terms will still apply.
12. Termination
12.1. Termination of Agreement
The agreement between Nbparents and the User may be terminated under the following circumstances: (i) by the User, without cause, by providing at least seven (7) days’ written notice to Nbparents; or (ii) by either party immediately, without prior notice, if the other party materially breaches any terms of this Agreement, including but not limited to violations of Payment Terms and Conditions of Use. Additionally, Nbparents reserves the right to terminate this Agreement or suspend your User account, or to deny or restrict your access to the Nbparents Platform or any part thereof, without notice, immediately upon any of the following events: (1) you no longer meet the eligibility criteria to use the Service; (2) Nbparents determines, in good faith, that such action is necessary to safeguard the security and integrity of the Nbparents community or third parties; or (3) there are suspicions of fraudulent, abusive, or illegal conduct, in which case Nbparents may report such activities to the appropriate law enforcement authorities.
12.2. Consequences of Termination
Upon termination of your access to the Service, whether due to a breach of this Agreement or for any other reason, you acknowledge and agree that Nbparents may, without prior notice, immediately deactivate or delete your User account and all associated data, including files and other content related to your account. Some of the Content you have posted through the Service may remain accessible after account termination, but you remain responsible for settling any outstanding fees or charges incurred prior to termination. You further agree that Nbparents shall not be held liable for any consequences resulting from the termination of your access to the Service, including, but not limited to, loss of income or the ability to generate revenue through the Services.
12.3. Discontinuation of Services
Nbparents reserves the right to modify, suspend, or discontinue any Service, or any part thereof, at its sole discretion, at any time, with or without notice, for any reason, including but not limited to reasons outlined in these Terms. Nbparents shall not be liable to you for any changes to or cessation of the Services, including any impact on your income or ability to generate revenue from the Services.
12.4 Survival of Terms
The provisions of these Terms will remain in effect even after your access to the Service is terminated or you cease using the Service.
13. User Disputes
You acknowledge that you are solely responsible for managing any interactions or disputes with other Users related to the Service. Nbparents shall bear no responsibility or liability in connection with such interactions or disputes. While Nbparents reserves the right to intervene or become involved in such disputes at its discretion, it is not obligated to do so in any manner.
14. Communications
Notifications and communications to you may be sent via email or regular mail. By using the Service, you consent to receive electronic communications from Nbparents, which may include, but are not limited to, email, text messages, push notifications within the app, or notices posted on the Nbparents platform. You acknowledge that all agreements, notifications, disclosures, and other communications sent electronically will satisfy any legal requirements for written communications.
By creating an account and providing your phone number, you authorize Nbparents to contact you at that number, potentially through automated technologies, including text (SMS) messages or pre-recorded phone calls. You may withdraw your consent and opt-out of receiving text (SMS) messages at any time by updating your communication preferences in your account settings or by following the instructions provided in the SMS/text message.
15. Students Safety
In accordance with applicable federal and state laws, Teachers are mandated to report any suspected cases of child abuse or neglect to local authorities when they become aware of such issues during their engagement with Nbparents students. This is in line with the Federal Child Abuse Prevention and Treatment Act (CAPTA) (42 U.S.C.A. § 5106g), which defines “abuse or neglect” as any recent action or failure to act by a parent or caretaker that results in death, serious physical or emotional harm, sexual abuse or exploitation; or any action or failure to act that poses an immediate risk of serious harm.
To support Teachers in complying with these legal requirements, Parents acknowledge and consent that Nbparents may share the necessary information regarding the Parent and Students with Teachers to fulfill their legal reporting obligations to local authorities. Furthermore, Nbparents reserves the right to report any suspected cases of abuse or neglect to the appropriate authorities at its discretion.
16. General
16.1 These Terms represent the comprehensive agreement between you and Nbparents, governing your use of the Service and replacing any prior agreements regarding the Service between you and Nbparents. Additionally, you may be bound by supplementary terms and conditions when using services, content, or software from third-party affiliates.
16.2 The interpretation and enforcement of these Terms will be governed by the laws of the State of California, excluding its conflict of laws principles. Regarding any disputes or claims not subject to arbitration as previously outlined, both you and Nbparents consent to the personal and exclusive jurisdiction of the state and federal courts located in San Francisco County, California.
16.3 Nbparents' failure to enforce any provision of these Terms does not waive its right to enforce such provision in the future.
16.4 If any clause in these Terms is deemed invalid by a court with proper jurisdiction, both parties agree that the court should make reasonable efforts to uphold the intent of the provision, while the remaining provisions of these Terms will remain valid and enforceable.
16.5 You agree that, notwithstanding any applicable statute or law to the contrary, any claim or cause of action related to the Service or these Terms must be filed within one (1) year from when the claim or cause of action arises, or else it will be permanently barred.
16.6 A printed version of this agreement and any electronically delivered notice will be accepted in legal or administrative proceedings related to this agreement, with the same legal effect as documents maintained in physical form.
16.7 You are prohibited from assigning or transferring these Terms and/or your Account without prior written consent from Nbparents. However, Nbparents retains the right to assign or transfer these Terms, in part or in full, without restriction.
16.8 The titles of the sections in these Terms are for convenience and reference only and do not have any binding legal or contractual effect.
